STANDARD TERMS AND CONDITIONS OF SALE
- 1. General Agreement & Local Transaction Option These terms and conditions apply to all sales and services provided by Grand Automation Intelligence Limited ("GAI"). By placing an order, the customer agrees to these terms. Any modification or deviation from these terms must be mutually agreed upon in writing. We value long-term collaborative partnerships and aim to resolve any discrepancies amicably. For customers whose internal procurement policies strictly require domestic transactions with a locally registered Malaysian entity (e.g., for local vendor registration compliance), GAI can arrange the transaction through our authorized Malaysian distributor. Please contact our sales representative prior to order confirmation to arrange local entity billing.
- 2. Payment Terms & Multi-Currency Settlement To facilitate seamless regional transactions, GAI accepts settlement in major international and Southeast Asian currencies—including USD, HKD, EUR, MYR, IDR, and VND—as specified in our official quotation. Unless otherwise specified in our official quotation or invoice, all invoices are strictly payable within 30 days from the invoice date in the exact currency and to the designated payment account stated on the invoice. In the event of late payment, GAI reserves the right to apply a reasonable late payment interest of 8% per annum (calculated daily) on the outstanding balance. GAI also reserves the right to suspend further deliveries or services until the outstanding balance is cleared.
3. Delivery, Trade Terms, and Installation We are committed to delivering high-performance industrial solutions within the agreed timeframes. Delivery terms are governed by Incoterms® 2020 as specified in GAI’s official quotation (typically DDP or DAP):
Under DDP (Delivered Duty Paid): GAI handles customs clearance and import duties up to the agreed destination.
Under DAP (Delivered at Place): The customer is responsible for local import customs clearance and applicable import duties/taxes. GAI will proactively provide full shipping documentation—including the Bill of Lading (B/L), Air Waybill (AWB), Commercial Invoice, Packing List, and Certificate of Origin (where applicable)—to ensure smooth customs clearance and tax compliance by the client’s appointed agent.
On-Site Installation: Where on-site delivery, assembly, or installation is included in the quotation, such on-site works will be carried out by GAI’s authorized local service partner in Malaysia in accordance with GAI’s technical standards.
Upon receiving the goods or services, the customer is required to inspect them. Any claims regarding visible defects, missing items, or non-compliance must be reported to GAI via official email within 14 days of delivery.
4. Warranty, Maintenance, and Liability GAI supplies high-quality industrial equipment backed by the respective original manufacturer's standard warranties. The specific warranty period and coverage for each product are determined strictly by the manufacturer's official documentation or as explicitly stated in GAI’s official quotation. To ensure prompt local support, all on-site warranty servicing, routine maintenance, and technical support within Malaysia are executed by our authorized local Malaysian engineering partner. While we ensure the equipment meets the agreed technical specifications, GAI shall not be held liable for indirect, incidental, or consequential damages (including, but not limited to, loss of production or profit) arising from the use of the equipment. Our total liability shall not exceed the total value of the specific order in question.
5. Taxes and Duties Except where inclusive tax terms (such as DDP) are explicitly stated in our official quotation, all prices quoted are exclusive of local taxes and duties. If the customre’s local legislation requires withholding tax (WHT) or similar deductions at source, the client is responsible for paying such taxes to the relevant tax authorities without deducting the amount from GAI’s invoice, ensuring that GAI receives the full invoiced amount.
6. Governing Law All contractual relations and business transactions between the customer and Grand Automation Intelligence Limited shall be governed exclusively by the laws of the Hong Kong Special Administrative Region (HKSAR).
